M&A SUPPORT FOR ACCOUNTANTS AND PROFESSIONAL ADVISORS

Specialist M&A expertise when your clients need it

You may have advised a client for years and know the business, its numbers and its owners in depth. When the conversation turns to valuation, market readiness or a potential sale, specialist M&A expertise can add a different perspective.
Winnerge gives you access to that expertise through clearly defined services, so you can bring us in where needed and decide how far our involvement should extend.

SPEAK WITH US
WHEN CLIENTS START ASKING M&A QUESTIONS

Four conversations that often start with the accountant

Business owners often raise these questions with their accountant or long-standing advisor before speaking to an M&A specialist. Sometimes a specific tool or analysis is enough. In other cases, specialist M&A support is needed alongside the advisors already working with the client.

What is my business really worth?

A structured valuation can help test the client’s expectations against the numbers, inform a future decision or assess an offer already received.

How should I prepare before going to market?

The client may not yet have decided to sell, but wants to understand how the business should be presented and which potential buyers are likely to be the best fit.

I have decided to sell. What happens next?

Once the decision has been made, the sale process needs to be structured, potential buyers identified and the transaction managed through its different stages.

I have received an offer. How do I assess it?

Before accepting or rejecting it, the client may need to understand whether the offer fairly reflects the value of the business and whether other options are worth exploring.

HOW WINNERGE CAN SUPPORT YOUR CLIENT WORK

TWO WAYS TO WORK WITH WINNERGE

The client relationship stays with you

There is no single way to work together.
Winnerge can provide specific M&A deliverables for you to use in your own client work, or take responsibility for the M&A process when a full sell-side mandate is required.

SCENARIO A

Use Winnerge deliverables in your own client work

With Winnerge To Check and Winnerge To Position, you can add an M&A valuation, company profile or selected buyer list to the work you already do with the client.
Winnerge produces the agreed deliverables. You decide how and when to use them with the client, and the client relationship remains entirely with you.

SCENARIO B

Bring Winnerge in to run the sale process

When the client decides to sell and specialist transaction management is required, Winnerge can take on the sell-side mandate through Winnerge To Match or Winnerge To Sell.
The client relationship remains with you. You continue to advise on the business, its financial history and the matters within your remit. Winnerge takes responsibility for the M&A workstream, including market positioning, buyer engagement and negotiations.

FAQ

What accountants and advisors ask us most often

Will Winnerge deal directly with my client?

Not always. With Winnerge To Check and Winnerge To Position, you can use the deliverables within your own work with the client. With Winnerge To Match and Winnerge To Sell, direct contact with the business owner is necessary to manage the transaction. Roles, communication and client contact are agreed with you before the mandate begins.

If my client decides to sell, what role do I continue to play?

An important one. Your knowledge of the business, its financial history, ownership and wider context remains valuable throughout the transaction. Winnerge leads the M&A process, while you continue to advise the client in your areas of expertise and remain involved throughout the deal.

Can I use Winnerge without appointing you to manage the sale?

Yes. Winnerge To Check and Winnerge To Position are designed for exactly that. You can use them when the client needs a valuation, market preparation or buyer identification without entering into a sell-side mandate with Winnerge.

What if my client is not ready to sell?

There is no reason to force a sale decision. Start with what the client actually needs at that point. Understanding the value of the business or preparing it for market can be useful even if a sale takes place later or never takes place at all.

Who handles the tax, accounting and corporate matters during a sale?

The client’s existing advisors remain responsible for their respective areas of expertise. Winnerge leads the M&A process and coordinates with the accountant, legal counsel, tax advisors and other professionals involved whenever the transaction requires it.

Can I speak with Winnerge before discussing it with my client?

Yes. We can discuss the situation with you first, confidentially, to understand whether Winnerge can add value and what level of involvement would make sense. Nothing is initiated with the client unless and until you decide to take the conversation further.

How is client information handled?

All information is treated as confidential and used only for the agreed service or mandate. Where there is no market contact, nothing is shared with potential buyers. Under a sell-side mandate, any disclosure follows the agreed process and confidentiality protections.
