WHAT IT IS

A structured service to prepare your business for sale

Winnerge To Position starts with your company’s data, history and key characteristics to develop professional sale materials for going to market. We establish the value of the business, prepare the materials used to present it and identify the most relevant potential buyers.

WHAT’S INCLUDED

Everything you need to prepare for market

You receive a complete package including the business valuation, company profile, anonymous teaser and NDA template. In addition, you receive a selected list of 10 potential buyers, each with a rationale explaining the potential industrial or strategic fit. All materials are prepared and reviewed with a Winnerge advisor.

WHO IT’S FOR

For business owners who want to prepare for a sale and manage the negotiations themselves

It is designed for business owners who want to go to market properly prepared while maintaining direct relationships with potential buyers. Winnerge prepares the valuation, sale materials and an initial selection of buyers to approach. From that point, you manage the relationships and negotiations yourself.

WHAT YOU RECEIVE

A complete set of materials to present your business and know which buyers to approach first

A valuation, company profile, anonymous teaser, NDA and a selected list of potential buyers. A complete package designed to help you begin the sale process on a professional footing and know how to take your first steps in the market.

A valuation that stays with you

A reference point for the value of your business before entering into any discussions with potential buyers. The valuation is not included in the materials shared with the market.

An anonymous teaser for the initial approach

A concise overview of the opportunity designed to test initial interest without revealing the identity of the business.

A company profile to present the business professionally

A structured document covering the business, financials, market, customers, organisation and outlook, to be shared with buyers after the NDA has been signed.

An NDA to protect confidential information

An NDA template to be signed before sharing the company profile and more sensitive information.

A selected list of 10 potential buyers to approach first

For each buyer, you receive a rationale explaining the potential industrial or strategic fit with your business.

Know which buyers to approach and what information to share

The teaser allows you to test initial interest without revealing the identity of the business. If a buyer wants to explore the opportunity further, the NDA protects confidential information before the company profile is shared. The valuation remains confidential to you and serves as a reference throughout negotiations. The selected buyer list shows you which counterparties to approach first.

SCOPE OF THE SERVICE

What Winnerge To Position does not do

Winnerge To Position prepares you to present your business to the market while keeping management of the process in your hands. We establish the value, develop the materials with you and identify potential buyers. Buyer contacts, relationships and negotiations remain your responsibility.

It does not contact potential buyers on your behalf

Winnerge identifies 10 potential buyers and explains why each may have an industrial or strategic interest in your business. You remain responsible for the initial approach, sending the teaser and managing the responses.

It does not manage buyer relationships or lead the negotiations

If a buyer expresses interest, you manage the follow-up discussions, meetings and negotiations yourself. If you would rather entrust this part of the process to Winnerge, you can move to a Winnerge To Match → or Winnerge To Sell → mandate without losing the work already completed.

It does not guarantee that the identified buyers will be interested in acquiring the business

The list identifies the counterparties that, based on the characteristics of the business and potential industrial or strategic fit, are the most relevant to consider approaching first. Genuine interest only becomes clear once you contact them and start a conversation.

FAQ

Before you start

If you cannot find the answer you need here, contact us directly and the Winnerge team will get back to you.

Do I need to have decided to sell already?

Not necessarily. Winnerge To Position is designed for business owners who are actively preparing for a potential sale and want to understand how to present the business and which buyers to approach, while continuing to manage buyer contacts and negotiations themselves. If you only want to understand what your business is worth and are not yet preparing for market, Winnerge To Check is the more suitable option.

What documents do I need to provide?

To get started, we need detailed financial statements for recent financial years, revenue by customer, details of financial debt and the organisation chart. We will also ask for other documents that help us understand the business in greater depth, but you do not need to prepare anything specifically for Winnerge. You upload what you already have and any missing information can be added as the work progresses.

How much work do I need to do to prepare the materials?

Winnerge does most of the work. You upload the available documents and join a roughly 60-minute call with the advisor to cover what the documents alone cannot explain, including the company’s history, business model, reasons for the sale, outlook and the characteristics of the ideal buyer. Winnerge then prepares the materials and reviews them with you before final delivery.

How is my company information protected?

The data and documents you share with Winnerge remain confidential. The teaser is designed so that the business cannot be identified, while the company profile is intended to be shared only after an NDA has been signed. The names of customers, suppliers and individuals are not disclosed in materials intended for potential buyers. The valuation remains confidential to you.

What if I decide that I no longer want to manage the sale myself?

You can move to a Winnerge To Match or Winnerge To Sell mandate. The work already completed through Winnerge To Position is carried forward, so you do not start again from scratch. Winnerge then takes over buyer contacts, relationship management and negotiations according to the mandate you choose.

Getting started takes just two minutes and a few details about your business. After submitting the form, you will receive an overview of Winnerge To Position, the payment terms and a guide to help you prepare the required documents at your own pace. Completing the form does not create a mandate or any obligation to entrust the sale to Winnerge.

HOW WE WORK WITH YOU

  • A clear fee from the outset. You know exactly what the service costs, with no retainer and no success fee.
  • We start with what you already have. We use the documents already available, without asking you to prepare analyses or presentations specifically for us.
  • A guided discussion with a Winnerge advisor. We review the documentation with you in a roughly 60-minute call.
  • We review the materials together. We prepare them and go through them with you before final delivery.
  • Your data remains confidential. Your company documents and information are protected throughout the engagement with Winnerge.
  • The work already completed is not lost. If you later decide to entrust the sale to Winnerge, it is carried forward into the next service.

Where are you in the sale process?

Submitting this request does not commit you to anything. Payment is due later, only if you choose to proceed after reading the terms and conditions.

An SME can report strong results despite ageing machinery and delayed investment. During a sale, however, the capital required to maintain production may affect the company’s valuation and the terms of the transaction.

Many SMEs own the factory, offices or premises where they operate. For the entrepreneur, the property often represents financial strength and the result of investments made over many years.

If production continuity, know-how and key decisions depend on one production manager, a valuable employee can become a significant risk during the sale of an SME.
