FEE STRUCTURE

Monthly retainer and success fee

Winnerge To Match is structured around a monthly retainer for the ongoing management of the mandate, with an initial minimum commitment of three months, plus a success fee payable on successful completion of the transaction. Full commercial terms are agreed before the mandate begins.

We prepare an anonymous teaser and a concise company profile containing the information needed to present the opportunity clearly, professionally and confidentially.


We identify the buyers to approach first

We select the best-fit counterparties based on sector, size, business characteristics and the potential strategic or financial rationale for the acquisition.


We start buyer outreach directly

Winnerge opens discussions with selected buyers, assesses their level of interest and manages the staged disclosure of information while protecting confidentiality.



What happens after the first 10 business days

The 10-business-day timeframe covers the initial work required to bring the business to market on a sound footing and begin buyer outreach.
From that point, Winnerge continues to manage the entire process. We stay close to potential buyers, separate credible interest from exploratory enquiries and progress qualified parties through the next stages.
We manage the receipt and assessment of offers, prepare you for buyer meetings, lead negotiations on the key deal terms and coordinate the due diligence process with the other advisers involved.
Final decisions always remain with you. Winnerge manages the process, but you decide whether to sell, to whom and on what terms.
The mandate runs through closing.

To achieve this, the initial phase focuses on what is needed to get started, without the same depth of preparation provided by Winnerge To Sell. It is a deliberate choice, with advantages and limitations that are important to understand before choosing the service.


It does not analyse all the business’s value drivers in depth

Winnerge To Match develops an initial assessment of value designed to support the market launch, without carrying out the in-depth analysis that Winnerge To Sell completes before going to market. This allows the process to start sooner, but means that not every factor that could strengthen the business’s valuation in negotiations is explored in depth from the outset.



It does not develop a full sale strategy before going to market

The teaser and essential sale materials allow discussions with buyers to begin quickly. The strategy is built and refined as the process progresses, rather than being fully developed before going to market as it is with Winnerge To Sell. This shortens the time to launch, but leaves less room at the outset to work on the equity story, positioning, buyer outreach sequence and creating competitive tension between buyers.

What do I need to get started?

You do not need to have a full information pack ready. We only need the essential documentation required to understand the business, its key financials and the scope of the transaction. From there, we can prepare the essential sale materials and begin market outreach.


Who will manage the sale of my business?

Each Winnerge To Match mandate is handled by a team combining expertise in financial analysis, valuation, sale materials, buyer research and transaction management. These different areas of expertise work together on the same process and are coordinated throughout the mandate through closing.


How are Winnerge’s fees structured?

What if I already have a potential buyer?
