Castellini acquires Lazzari: Winnerge’s role in a strategic M&A industrial deal

The Italian manufacturing sector is experiencing a phase of consolidation, with companies seeking to strengthen their market position through targeted acquisitions. Within this context, Castellini S.p.A. Società Benefit has acquired Lazzari Officine Meccaniche Impianti Industriali S.p.A., a historic company founded in 1951 and specialized in industrial saws and machinery for the steel industry.
The transaction, which resulted in Castellini acquiring 90% of the share capital, is part of a wider industrial growth strategy aimed at integrating complementary know-how and consolidating international competitiveness. Lazzari will continue to operate independently from its headquarters in Ponte San Pietro (BG), leveraging its technical expertise built over more than seventy years.
Winnerge’s role in the deal
Winnerge acted as buy-side financial advisor to Castellini, transforming an initial growth intuition into a structured and sustainable industrial project. The advisory process was developed across three main phases.
- Preliminary analysis and strategy: from the earliest stages, Winnerge supported Castellini’s ownership in assessing the strategic rationale of the acquisition. Through scenario simulations and alternative growth paths, the team analyzed economic, industrial and financial impacts, providing a clear framework of opportunities and expected returns.
- Business due diligence and industrial plan: Winnerge worked closely with management to draft a five-year industrial plan for Lazzari. This tool was designed not as a simple forecast, but as a decision-making instrument to define priorities, resources and growth trajectories, ensuring a gradual and solid integration into Castellini’s long-term strategy.
- Negotiation and closing: Winnerge guided Castellini through all negotiation stages, from defining contractual terms to managing relations with the Zanardi family – the previous owners of Lazzari – and successfully leading the transaction to closing. This consistent support ensured strategic alignment and an effective management of the process.
